THAIS INTERNATIONAL SOURCING · KANSAS CITY, MISSOURI
Terms of Use
Effective October 16, 2026 · Version 2026-10-16.2
These Terms of Use govern the Thais International Sourcing website and private atelier. Please read them, including the sections on service commitments, liability and dispute resolution, before agreeing to them.
1. Our agreement and eligibility
Thais International Sourcing (“Thais,” “we,” “us”) operates from Kansas City, Missouri. “You” means the person using the service and, where you are authorized to act for a business, that business. You must be at least 18 and have authority to make commitments for the business you represent. Do not submit an inquiry or accept these terms on someone else’s behalf without permission.
By affirmatively accepting these terms in an inquiry or other agreement flow, you agree to them. The Privacy Policy explains our data practices; acknowledging it is not blanket consent to unrelated uses of personal information. A specific written service agreement or confirmed order controls over these general terms on a conflicting service-specific issue. Mandatory legal rights always apply. Simply viewing editorial content does not create a sourcing engagement.
2. Inquiries, engagement and approvals
Submitting an inquiry does not reserve inventory, guarantee acceptance or create a paid booking. An engagement requires our confirmation of the service, scope, fee, merchandise budget and relevant timetable. Atelier packages describe the agreed target collection size, not an assurance that any particular brand, item or vintage piece will be available. If the brief cannot be fulfilled, we will discuss alternatives or reconcile the engagement as agreed and required by law.
Our service includes sourcing and coordinating purchases of pieces you approve. An item approval authorizes us to pursue that item at the disclosed price within the agreed budget, subject to availability; it is not itself proof of purchase or payment. Review descriptions, measurements, condition, known flaws and deadlines before approving. Ask questions first. A changed price or material substitution requires your approval. Silence is not item approval. Approved pieces may become unavailable before purchase.
You are responsible for accurate preferences, authorized approvals, timely responses and a correct delivery address. We are an independent service provider, not your employee, partner, tax adviser or guarantor of resale demand. Any purchasing authority is limited to the confirmed engagement and your approvals.
3. Fees, merchandise funds and payments
Sourcing fees and merchandise funds are separate. The confirmed sourcing fee covers the agreed service and one standard U.S. shipment unless a specific written agreement states otherwise. Duties, taxes, insurance, exceptional shipping, additional shipments or other charges must be disclosed and agreed where applicable. Prices are in U.S. dollars unless expressly stated otherwise. Published examples illustrate possible budgets and are not a promise of resale value or profit.
Fund your confirmed budget using the agreed payment method before purchases are made. Do not treat a dashboard approval, stage or balance as a bank receipt. We record verified transfers and completed refunds; Stripe checkout confirmations remain subject to payment verification. You authorize only the payments and purchases you expressly approve. No recurring subscription is created by expressing interest in quarterly sourcing.
Where permitted and separately itemized before payment, your company is responsible for the disclosed payment-processing fee in addition to the sourcing fee or merchandise funds. This helps cover secure payment processing while keeping the agreed sourcing service and merchandise allocation clearly separated. We show the fee and total before you authorize payment. No fee is added after authorization, and no card surcharge applies to debit or prepaid cards. If checkout shows no processing fee, none is charged. If Thais agrees to waive a processing fee for your company, the waiver shown in your payment summary takes precedence for that payment.
We will reconcile unused merchandise funds and return amounts due after accounting for authorized purchases and charges, within applicable legal deadlines. We will not treat unused shopping funds as an undisclosed penalty. If a payment fails or is reversed, we may pause unperformed work or further purchases while we resolve the balance. Please contact us about discrepancies; nothing here restricts lawful payment disputes or chargeback rights.
4. Cancellations, returns and refunds
Contact us promptly in writing to cancel or change an engagement. Before we incur commitments, we will explain any work already performed, authorized nonrecoverable supplier costs and any agreed cancellation terms. Any retained sourcing fee must reflect the applicable written agreement and law; these terms do not impose an automatic blanket “nonrefundable” fee. We will not retain unearned amounts when a refund is legally required.
Purchased vintage or specially sourced pieces may have limited supplier return options. Any applicable final-sale or return condition must be disclosed before you authorize purchase. A change of mind does not automatically require a supplier to accept a return. This does not eliminate remedies for materially misdescribed goods, undisclosed defects, unauthorized purchases, non-delivery or other matters protected by law. Report an issue promptly, keep packaging and evidence where reasonable, and contact us for return instructions; no short reporting period here forfeits statutory rights.
5. Vintage condition, descriptions and brand references
Vintage and pre-owned goods may show wear, repairs, alterations or variations in sizing. Photos and screens can vary in color. We describe material known condition issues and provide available details, but cannot promise every piece has its original packaging, documentation or manufacturer warranty. No independent authentication service is included unless specifically agreed. We do not knowingly source counterfeit goods; raise authenticity concerns before approving whenever possible.
Brand names identify items or inspiration and do not imply that Thais is affiliated with or endorsed by those brands. Editorial and lookbook images are inspiration, not current inventory. We do not guarantee a particular resale price, customer response, profit or sell-through rate.
6. Timelines, shipping and events outside our control
We will confirm a reasonable shipment timetable for a purchase; a sourcing trip announcement is not a shipment promise. Carrier estimates, customs processes and supplier availability can affect timing. If a legally binding shipment deadline cannot be met, we will provide the delay notice, consent/cancellation choice and prompt refund required by applicable law. Label creation alone is not shipment.
Shipment charges, insurance and any special allocation of transit risk must be agreed before purchase. These terms do not automatically transfer every transit loss to you. Tell us about delivery problems so we can investigate with the carrier and apply the agreement and law. Events reasonably beyond our control may delay performance, but do not excuse required notices, safeguarding of client funds or mandatory refunds.
7. Accounts, notifications and electronic records
Keep credentials private, use an authenticator where possible and sign out on shared devices. Browser sign-in may persist until you sign out, clear stored data, the session expires, or access is revoked for security or account reasons. Inform us promptly of suspected unauthorized activity. You are responsible for activity you authorize; this does not make you responsible for our security failures.
Our portal, email and optional push notifications support the service. Delivery may be delayed, filtered or unavailable. Check your atelier for authoritative status before a time-sensitive decision. Marking a notification read does not approve an item, acknowledge legal service of process or authorize a payment. By using electronic service flows, you agree to conduct the relevant transaction electronically where permitted; save or print copies for your records. Contact us for available alternatives. Legally required consent or notices will be handled as the applicable law requires.
8. Permitted use and content
Use the site only for lawful inquiries and authorized service activity. Do not attempt to access another client’s records, bypass security, scrape private data, upload malicious material, impersonate others, abuse notification services, or infringe intellectual-property or privacy rights. You may not reproduce our branding, original photographs, text or software for commercial use without permission, except as allowed by law.
You retain rights in information and materials you submit. You give us only the permission needed to host, copy, display to authorized participants, and share them with relevant providers to perform the service. You represent that you have the necessary rights. This is not permission to publicly advertise your business or use your testimonials; we seek separate permission for that. Feedback does not require us to implement a suggestion or compensate you unless agreed.
9. Suspension and third-party services
We may reasonably restrict or suspend access to address suspected fraud, security risks, unlawful use, material breach or unpaid agreed amounts. When practical we will notify you and allow appropriate resolution. Suspension does not erase accrued obligations, accounting records, legitimate access to transaction information or required refunds. Contact us to obtain records if portal access is unavailable.
Third-party payment, shipping and linked services may have separate terms. We are not responsible for their independent promises, but using a provider does not remove our own obligations to you. We may maintain or change site features while preserving existing contractual commitments.
10. Disclaimers and limits of liability
TO THE EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SITE ACCESS. THIS WEBSITE DISCLAIMER DOES NOT CANCEL EXPRESS ITEM DESCRIPTIONS, WRITTEN SERVICE PROMISES OR MANDATORY WARRANTIES FOR GOODS OR SERVICES.
For business-to-business engagements, to the extent permitted by law, neither party is liable to the other for indirect or consequential losses such as lost profits, lost sales or lost business opportunities. Thais’s aggregate liability arising from an engagement is limited to the sourcing fees paid or payable for that engagement plus the purchase price of the merchandise giving rise to the claim, or $100, whichever is greater.
These limits do not reduce obligations to account for or return client funds, required refunds, liability for fraud, willful misconduct or gross negligence, personal injury where limitation is prohibited, or any liability or remedy that applicable law does not permit to be limited. The business-to-business limit does not apply to a consumer purchase. A remedy remains available where a contractual limitation is unenforceable or fails its essential purpose.
11. Business customer responsibility for third-party claims
For business customers only, to the extent permitted by law, you will reimburse reasonable losses and defense costs arising from a third-party claim caused by your unlawful use of the service, infringement in materials you supply, or material misrepresentation of your authority. This does not cover our negligence or misconduct. We will give prompt notice, permit reasonable participation in the defense, and not agree to a settlement imposing admissions or obligations on you without your consent, not unreasonably withheld.
12. Missouri law and disputes
Missouri law governs these terms, without its conflict-of-law rules, except that applicable federal law and nonwaivable protections under the law of your residence continue to apply. Subject to those protections and a court’s jurisdiction, disputes may be brought in the state courts serving Kansas City, Missouri, or the U.S. District Court for the Western District of Missouri. For business-to-business disputes, the parties consent to those courts as the exclusive venue.
Please first contact [email protected] with the facts and requested resolution so we can try to resolve the concern. This request does not prevent urgent relief, a timely legal filing, small-claims proceedings where available, or a complaint to a regulator. These terms do not require arbitration or waive legally protected consumer remedies.
13. Changes, interpretation and contact
We may update these terms prospectively and will post the effective date. Material changes requiring renewed agreement will be presented for acceptance; we will not silently rewrite an existing confirmed engagement. If a provision is unenforceable, the remaining provisions continue to the extent legally permitted. Not enforcing a provision immediately is not a permanent waiver. These terms and the applicable written engagement form the agreement on their subject, without excluding fraud claims or mandatory rights.
